Algemene voorwaarden

1. General

Pro Host Solutions is a provider of digital services specializing in the optimization of short-term rental operations, offering setup, integration, pricing, and property management solutions (“Platform”). These T&C apply to all users of the Platform (“User(s)”), including property owners, agents, and operators acting in a commercial capacity. Use of the Platform implies agreement to these T&C.

Users may not:

Use the Platform for unlawful or fraudulent purposes
Interfere with or impair the Platform’s functionality or security
Bypass access restrictions or engage in unauthorized scraping or data harvesting
Use the services in excess of their intended scope or license

2. ProHost’s Services

ProHost provides software and consulting solutions that facilitate:

Calendar and pricing synchronization
OTA integrations (e.g., Airbnb, Booking.com, Vrbo)
Automation and communication tools
Revenue management insights

We may also provide Beta Services and third-party Integrations. Beta Services are experimental and not guaranteed. We are not liable for the performance or compatibility of third-party integrations.

Platform uptime is aimed at 98% annually. Temporary unavailability for maintenance may occur. Users will be notified when possible.

3. User Rights and Obligations

Users are granted a limited, non-exclusive, non-transferable license to use the Platform.
Users are responsible for maintaining secure login credentials and for all actions under their account.
Users must provide accurate information and comply with applicable laws, including GDPR, anti-money laundering, export controls, and data protection obligations.
ProHost may verify user-provided data or perform compliance checks as needed.

Users must not:

Reverse engineer or replicate the Platform
Introduce malware or disrupt the Platform
Infringe intellectual property rights of ProHost or third parties

4. Intellectual Property

All content, software, and functionalities within the Platform are the exclusive property of Pro Host Solutions. Users may not reproduce, reuse, or distribute any Platform content without written authorization.

5. Billing and Payment

Fees are clearly stated on the Platform and are due in advance of service activation.
Subscriptions automatically renew unless canceled with one month’s written notice.
Late payments may result in interest charges and service suspension.
Free trials may be offered at our discretion. Continued use after the trial requires full subscription payment.

6. Liability and Indemnification

ProHost shall be liable only for intentional or gross negligence, and not for indirect or consequential damages.
In cases of minor negligence, liability is capped at the total fees paid in the previous 12 months.
Users shall indemnify ProHost against third-party claims resulting from violation of these T&C.

The Platform and services are provided "as is" without warranty of fitness for a particular purpose.

7. Term and Termination

Subscriptions renew automatically unless canceled in writing one month in advance.
ProHost may terminate accounts for breach of these T&C or non-payment.
Users may download their data within 30 days of termination.
Key provisions such as confidentiality and liability survive termination.

8. Data Protection

ProHost complies with the General Data Protection Regulation (GDPR) and any other applicable privacy laws. A separate Data Processing Agreement (DPA) is available for Users who process guest data via the Platform.

Users are responsible for providing lawful data disclosure notices to their guests and ensuring legal compliance.

9. Confidentiality

All non-public information exchanged between parties is deemed confidential.
Confidential information may not be disclosed except as required by law or with written permission.
Each party may share confidential information with affiliates or contractors under strict confidentiality agreements.

10. Final Provisions

These T&C are governed by Spanish law. Any disputes shall be resolved in the courts of Alicante, Spain.
Force Majeure: ProHost shall not be liable for interruptions due to natural disasters, regulatory changes, or uncontrollable third-party disruptions.
If any provision is invalid, the remaining provisions remain in effect.
ProHost may revise these T&C with two weeks’ notice. Continued use of the Platform implies acceptance.
